• The ABS banker is a finance professional who specializes in the creation, structuring, and distribution of asset - backed securities. They play a crucial role in connecting entities with assets to investors seeking diversified investment opportunities, while navigating complex financial and regulatory
landscapes.
Transaction Origination and Structuring
• Identify potential originators, such as financial institutions, consumer lenders, and corporations, with assets suitable for securitization. These assets can include mortgages, auto loans, credit card and other type receivables, etc.
• Work closely with originators to understand their financial goals, asset portfolios, and risk tolerance. Based on this understanding, design customized ABS structures that optimize the value of the underlying assets and meet the originators' funding needs.
• Determine the capital structure of the ABS transactions, including the allocation of different tranches (senior, mezzanine, and junior) and the associated interest rates, maturities, and credit enhancements.
Due Diligence and Documentation
• Conduct comprehensive due diligence on the underlying assets, evaluating their quality, performance history, and legal ownership. This involves analyzing large volumes of data, such as loan - level information, to assess the creditworthiness of the assets.
• Coordinate with legal, accounting, and rating agency teams to ensure all documentation related to the ABS transaction is accurate, complete, and compliant with regulatory requirements. Prepare offering memorandums, prospectuses, and other disclosure documents for investors.
Investor Relations and Marketing
• Build and maintain relationships with a wide range of institutional investors, including commercial banks(prop and AM),asset managers, pension funds, and insurance companies. Understand their investment criteria, risk appetites, and return expectations.
• Develop marketing strategies to promote ABS offerings to potential investors. This includes creating marketing materials, organizing investor roadshows, and conducting one - on - one meetings to present the investment opportunities and answer investor questions.
• Facilitate the placement of ABS securities with investors, negotiate terms of the investment, and close the transactions.
Market Monitoring and Analysis
• Continuously monitor the ABS market, including trends in interest rates, credit spreads, and regulatory changes. Analyze market data to identify emerging opportunities and risks for both originators and investors.
• Keep abreast of competitor activities and new product developments in the ABS space. Use this knowledge to enhance NewCo's competitive position and offer innovative securitization solutions.
